Startup Campus Memberships
1. Scope
The T&C apply to every membership that is purchased by a natural person (the “Member”) through the Startup Campus web‑portal or by written confirmation.

ZHAW is the exclusive contractual partner. All rights and obligations arising from the membership belong to ZHAW. The Member does not contract with any third‑party service provider, except for the payment processing described in clause 7.3.

Georg Jaenisch acts solely as a payment intermediary (the “Payment Intermediary”). The Payment Intermediary receives the membership fee on behalf of ZHAW, issues the invoice and confirms receipt of payment to ZHAW. The Payment Intermediary is not a party to the membership contract and therefore has no rights or obligations under the T&C, except those expressly set out in clauses 7.3, 9.3 and 10.2.
3. Contract Formation and Duration
3.1) A membership is concluded when the Member completes the purchase on the website or when ZHAW confirms the booking in writing after the Payment Intermediary has confirmed receipt of the membership fee.
3.2) Memberships are personal and non‑transferable.
3.3) Each membership is valid for one (1) month or twelve (12) months from the date of purchase, unless otherwise agreed. Memberships do not renew automatically.
4. Services
4.1) The services described at the time of purchase (e.g. community access, alumni events, webinars, workshops, dinners, discounts) are included in the membership.
4.2) ZHAW reserves the right to adjust or replace individual services during the membership term with equivalent offers, provided that the overall value is maintained.
4.3) Services not used within the membership period expire at the end of the term and cannot be transferred or refunded.
5. Communication
Members will be informed regularly by e‑mail about offers, events, and benefits.
It is the responsibility of members to take note of this information and to use benefits within the specified timeframes.
6. Discounts and Discount Codes
6.1) Discounts (e.g. for workshops, programmes, dinners) are provided in the form of discount codes or specific registration links.
6.2) To claim a discount, the respective discount code must be entered again during the booking or checkout process.
6.3) Discounts cannot be applied retroactively to purchases already completed.
7. Payment Terms
7.1) Membership fees are payable in advance for the entire membership period.
7.2) All prices are quoted in Swiss Francs (CHF) and include statutory VAT, where applicable.
7.3) Payment Processing via the Intermediary
- Invoice: The Payment Intermediary issues the invoice in the name of Max Mustermann and sends it directly to the Member.
- Payment Recipient: The Member must transfer the full amount to the bank account / payment solution designated by the Payment Intermediary. Payment to any other account does not constitute a valid performance of the contractual payment obligation.
- Confirmation: ZHAW receives an electronic confirmation of payment from the Payment Intermediary. The membership is activated only after ZHAW has received this confirmation.
- Change of Intermediary: ZHAW may replace the Payment Intermediary (or change its bank details) at any time. In such a case ZHAW will inform members at least 14 days in advance. The Member’s existing duty to pay the membership fee remains unchanged; the Member must comply with the new payment instructions.
- Liability for Payment Errors: The Payment Intermediary is solely liable for any errors, delays or defaults in the collection of the membership fee. ZHAW is not liable for any loss suffered by the Member due to a payment error made by the Payment Intermediary, provided that ZHAW has acted in good faith and in accordance with this clause.
7.4) All payments are final and non‑refundable, except as expressly provided in clause 8.
8. Cancellation and Refunds
8.1) After the contract has been concluded, cancellation or refund of the membership fee is excluded, unless mandatory rights under Swiss law (Obligationenrecht, OR) apply.
8.2) Unused services do not entitle the Member to a (partial) refund.
9. Liability
9.1) ZHAW is liable only for damages caused intentionally or by gross negligence.
9.2) Any liability for indirect damages, consequential damages, or lost profits is excluded to the extent permitted by law.
9.3) Liability of the Payment Intermediary – The Payment Intermediary is liable for any loss resulting from the mishandling of the payment (e.g., misallocation of funds, failure to forward the payment to ZHAW). The Payment Intermediary’s liability is limited to the amount of the fee actually paid by the Member.
9.4) The Member may claim damages from ZHAW only for breaches of the contractual obligations listed in §§ 4–6, 10–13. Claims arising from the payment process must be directed exclusively to the Payment Intermediary.
10. Data Protection
10.1) The processing of personal data is subject to the Data Protection Policy and the provisions outlined in the Imprint.
10.2) By purchasing a membership, the Member consents to the processing of their data insofar as it is necessary for the execution of the contract and for the payment processing by the Payment Intermediary. The Member’s data (name, address, e‑mail, bank details) will be transmitted to the Payment Intermediary solely for the purpose of invoicing and receiving the payment.
10.3) The Payment Intermediary is obliged to treat the Member’s personal data confidentially and to use it only for the purposes of payment processing. The Payment Intermediary must comply with the applicable Swiss data‑protection legislation (DSG).
10.4) In case of a data breach at the Payment Intermediary that affects the Member’s personal data, the Payment Intermediary shall notify ZHAW and the Member in accordance with the law.
11. Copyright
All content, documents, and materials provided within the framework of the membership are subject to the copyright of ZHAW or expressly named rights holders. Any reproduction or distribution without prior written consent is prohibited.
12. Amendments to the T&C
ZHAW reserves the right to amend these Terms & Conditions at any time. Amendments will be communicated to members in an appropriate manner (e‑mail, website notice) and shall be deemed accepted unless the Member objects in writing within 30 days. Changes that affect the payment process will be communicated at least 14 days before taking effect.
13. Applicable Law and Jurisdiction
13.1) These Terms & Conditions are governed exclusively by Swiss law (Obligationenrecht, Datenschutzgesetz, etc.).
13.2) The exclusive place of jurisdiction for all disputes arising from or in connection with the membership is Winterthur, Switzerland.
